Clarity — AML/CTF compliance software for precious stones and precious metals dealers

1Acceptance of these terms

These Terms & Conditions (the “Terms”) form a binding agreement between VERIDEX TECHNOLOGIES PTE. LTD. and the business that registers for or uses Clarity (“you”, the “Merchant”). By creating an account, accessing, or using the platform, you confirm that you are authorised to bind the Merchant and that you accept these Terms, our Privacy Policy, and any order or plan agreed with us.

2The service

Clarity is a cloud-based platform that helps regulated dealers meet their anti-money-laundering and counter-terrorism-financing (“AML/CTF”) obligations — including customer onboarding and due diligence, sanctions and watch-list screening, transaction and threshold monitoring, record-keeping, and the preparation of regulatory reports. The specific features available to you depend on your plan and your jurisdiction (Singapore, Australia, or Hong Kong).

Beta. Clarity is currently offered as a Singapore-first beta. Features, thresholds, and workflows are being actively developed and may change. We make reasonable efforts to keep the regulatory logic current, but you must not treat the platform as a complete or final system during the beta.

3Eligibility and registration

  • You must be a business lawfully entitled to deal in precious stones, precious metals, or related products in your jurisdiction, and (where required) registered or enrolled with the relevant regulator.
  • You must provide accurate business-verification (KYB) information at sign-up and keep it current.
  • You are responsible for your users and for keeping credentials and authenticator devices secure. You must enable the multi-factor authentication we provide.

4You remain the responsible reporting entity

This is the most important term. Clarity is a tool that assists your compliance; it does not assume your legal obligations. You remain solely responsible, at all times, for:

  • meeting your own obligations under the applicable law — the PSPM Act (Singapore, Ministry of Law / ACD), the AML/CTF Act (Australia, AUSTRAC), or AMLO Cap. 615 (Hong Kong, Customs & Excise);
  • the accuracy and completeness of the data you and your staff enter;
  • the decisions you make — including whether to proceed with a transaction, file a report, or escalate a matter; and
  • filing reports with, and responding to, your regulator.
Not legal advice. Clarity provides software, not legal, compliance, or professional advice. Regulatory requirements change and depend on your circumstances. Confirm your specific duties with the relevant regulator or a qualified professional.

5Your customers’ personal data

When you use Clarity to onboard and check your own customers, you are the organisation responsible for that personal data (the data controller / controlling organisation), and we act as your data intermediary / processor — we process it on your behalf and on your instructions, to provide the service. How this works, and the rights your customers have, are set out in our Privacy Policy and the customer-facing Privacy Notice. You are responsible for giving your customers the required notices and for having a lawful basis to collect their data.

6Acceptable use

You agree not to: use Clarity for any unlawful purpose; enter data you are not entitled to process; attempt to breach, probe, or circumvent the platform’s security or access controls; interfere with its operation; reverse-engineer it; or resell or provide access to it except as permitted by your plan. You must not use Clarity to facilitate money laundering, terrorism financing, sanctions evasion, or to tip off any person contrary to law.

7Third-party services

Clarity integrates with third-party providers to deliver certain features — for example identity verification (such as Singpass / Myinfo), sanctions and watch-list data, accounting (such as Xero), and message delivery (email and SMS). Your use of those features may be subject to the third party’s terms, and we are not responsible for their services. Where you connect your own third-party account (for example your Xero organisation), you are responsible for that account and its credentials.

8Fees

Fees, if any, are as set out in your plan or order. During the beta, pricing may be provided separately or waived; we will give reasonable notice of any charges before they apply. Taxes (including GST) are your responsibility unless stated otherwise.

9Intellectual property

Clarity, including its software, design, content, and brand, is owned by VERIDEX TECHNOLOGIES PTE. LTD. and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the platform for your internal business compliance during the term. You retain ownership of the data you enter (“Merchant Data”); you grant us the rights needed to host and process it to provide the service.

10Availability, warranties, and liability

We work to keep Clarity available and accurate, but during the beta it is provided “as is” and “as available”, without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the platform will be uninterrupted, error-free, or that it will detect every risk or satisfy every regulatory requirement.

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, or consequential loss, or for loss of profit, data, or goodwill. Our total aggregate liability arising out of or in connection with these Terms is limited to the fees you paid to us in the twelve (12) months before the event giving rise to the claim (or SGD 100 where no fees were paid). Nothing in these Terms excludes liability that cannot be excluded by law.

11Indemnity

You will indemnify us against claims, losses, and costs arising from your breach of these Terms, your misuse of the platform, your data, or your failure to meet your own regulatory obligations.

12Confidentiality

Each party will keep the other’s confidential information confidential and use it only to perform these Terms. This does not prevent disclosure required by law or regulator.

13Suspension and termination

You may stop using Clarity at any time. We may suspend or terminate access for breach of these Terms, non-payment, or where required by law. On termination, your right to use the platform ends. We will make your Merchant Data available for export for a reasonable period, after which we may delete it — except where we or you are required by law to retain certain records (see retention below). Terms that by their nature should survive — including intellectual property, liability, indemnity, confidentiality, and record-retention — survive termination.

14Record retention

AML/CTF law requires records to be kept for a minimum period after a transaction or the end of a business relationship — 5 years in Singapore, 7 years in Australia, and 7 years in Hong Kong. You are responsible for meeting your retention obligations; we will not delete records in a way that would cause you to breach them while your account is active.

15Changes to these terms

We may update these Terms from time to time. We will post the current version here and update the effective date; where changes are material we will take reasonable steps to notify you. Continued use after changes take effect means you accept them.

16Governing law

These Terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction, without prejudice to any mandatory consumer or data-protection rights you may have in your own jurisdiction.
